The ClauseBook company name, address, support contact and effective date must be added, and these terms must be approved by Ontario legal counsel before paid access begins.
1. Eligibility and professional use
ClauseBook is intended for Ontario real estate professionals who are authorized to perform their work and who understand that clause selection and drafting require professional judgment.
2. No legal advice
ClauseBook is a clause retrieval and drafting-support tool. It is not a law firm, does not provide legal advice, and does not determine whether wording is suitable, complete, enforceable or consistent with the rest of an agreement. Users must obtain broker or legal review where appropriate.
3. Clause use
Users are responsible for selecting the correct clause, completing every field, deleting unused alternatives, confirming dates and amounts, checking interaction with printed terms and other schedules, and obtaining all required approvals before use.
4. Licence and restrictions
Access to the web beta provides a limited, personal, revocable and non-transferable licence to evaluate ClauseBook. Users must not reproduce or distribute the clause library as a competing database, resell access, bypass access controls, reverse engineer the service or use the content to train an automated model without written permission.
5. Free access, trial and website plans
The planned paid launch provides one week of website access without charge, followed by an optional three-week subscription trial started through an account and Stripe checkout. Unless cancelled before the trial ends, the selected plan renews automatically at CAD $4.99 monthly or CAD $39.99 annually, plus applicable taxes. Billing remains inactive during final setup, and the checkout page will show the controlling price, renewal and cancellation terms before purchase.
6. Accounts, cloud data and devices
Signed-out work is stored in the user’s local browser. After sign-in, drafts and favourites are synchronized to the user’s ClauseBook account. Users remain responsible for device security, protecting account access and retaining wording required for their records. Account deletion removes cloud drafts and favourites and cancels an active website subscription, subject to Stripe’s processing and records required by law.
7. Updates and availability
Clause wording and website features may be corrected, expanded or removed through website updates. ClauseBook may be temporarily unavailable for maintenance, technical issues or circumstances outside reasonable control.
8. Intellectual property
ClauseBook, its original clause library, software, branding and supporting materials are owned by or licensed to the ClauseBook business and are protected by applicable intellectual-property laws.
9. Disclaimers and limitation
The final launch terms will include lawyer-approved warranty disclaimers and limitations of liability that comply with applicable law. Nothing in these draft terms excludes rights or remedies that cannot lawfully be excluded.
10. Governing law and contact
The final terms are expected to be governed by the laws of Ontario and applicable federal laws of Canada. Company and support contact details will be inserted before launch.
